Applicable Law and Disputes
This Legal Notice will be governed by and construed in accordance with the laws of the India, without giving effect to its conflict of laws provisions, or those of your actual state or country of residence.
In the event of any dispute, both you and IET India will negotiate for amicable settlement. Should any dispute be unresolved for over six (6) months, the parties may refer the same for arbitration. Arbitral proceedings shall be conducted by a sole arbitrator in accordance with the provisions of the (Indian) Arbitration and Conciliation Act, 1996, as amended and the venue of such arbitration shall be Bangalore. The arbitral proceeding shall be in English.
If for any reason a court of competent jurisdiction finds any provision or portion of this Legal Notice to be unenforceable, the remainder of the terms and conditions will continue in full force and effect.
Without limiting the foregoing, under no circumstances will IET India or any of its affiliates be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labour disputes, riots, insurrections, civil disturbances, shortages of labour or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.
This Legal Notice constitutes the entire agreement between you and IET India with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Legal Notice by a party will be effective only if it is in writing and signed by the concerned party.
